LOVE Registration Agreement

CareWheels Corporation (“CareWheels”), an Oregon non-profit Public Benefit Corporation, provides an information service through which community-based account holders (“Friends”) may exchange offers and wants in the city of Lake Oswego, Oregon, and surrounding areas. CareWheels maintains a central accounts database to facilitate these exchanges and build social capital for the benefit of our Friends and community. The following agreement states the terms under which Friends may participate in the Lake Oswego Value Exchange (“LOVE”), a Mutual Credit & Time Bank.

 
1. REGISTRATION: You must be 18 years or older to register for a LOVE account. Registration is open only to residents, businesses and organizations in Lake Oswego, Oregon, and environs. Your participation in LOVE is subject to the terms and conditions of this Agreement. You become a Friend in LOVE (“Friend”) upon CareWheels' acceptance of your Registration and establishment of your LOVE Account.
 
2. REGISTRATION INFORMATION: Information in a Friend's profile is available to all Friends in LOVE. Each Friend agrees that CareWheels may hold his or her details on its computer database and distribute to other Friends in LOVE those details relevant to the purpose of exchange. You also agree that your listing of offers and wants may be distributed to all current and pending Friends in LOVE. You acknowledge that LOVE may be performing criminal background checks on new Friends or checking personal references, professional licenses, driver’s licenses and/or driving records. Any information contained within a Friend’s personal profile is self-reported data, and you may investigate Friends' profiles, background, references or licensing where appropriate (e.g., for in-home services).
 
3. NOTIFICATION: Your personal email address is necessary to access LOVE. You will receive messages from other Friends through LOVE’s website and may be notified of such messages through your personal email address. You may also receive alerts, documents and information through your email address or LOVE’s website account.
 
4. EXCHANGES: You understand that all agreements to exchange offers or wants between Friends will be personal exchanges. You agree to record an exchange with another Friend within three days of completion of that exchange.
 
5. COMPLEMENTARY CURRENCIES: You understand that all exchanges between Friends will be made using the LOVE units and recorded in the LOVE database. You are given a LOVE Account to track your exchanges with other Friends using these complementary currency units, which are called Hours (HR) and LOVE Dollars (L$):
   a. HR: Time-based unit exchanged on an hour for an hour basis;
   b. L$:   Mutual Credit-based unit exchanged on a dollar-equivalent basis.
 
6. NO NATIONAL CURRENCY: No national currency is deposited or issued in LOVE. However, Friends may engage in any exchange on a part national currency, part complementary currency basis, but only complementary currencies are recorded in the LOVE database.
 
7. ACCOUNT BALANCE: All accounts start at zero. A Friend is not obliged to be in receipt of any credit before issuing another Friend with credit from his or her account, subject to any limit that may be set by CareWheels in its sole and absolute discretion. You will receive an alert message when your account balance approaches the set limit.
 
8. TITHE: You agree to a tithe of 0.2% per week (10% per year) on your average positive and negative weekly L$ account balances. There is no tithe on HR account balances. Tithes help CareWheels to fulfill its mission, cover the costs of administering and operating LOVE and discourage currency hoarding.
 
9. NO OBLIGATION TO EXCHANGE OR DECLINE TO EXCHANGE: No Friend is obligated to accept any particular invitation to exchange, or to engage in any transaction whatsoever with other Friends in LOVE.
 
10. DECLINE TO RECORD: CareWheels may decline to record a transaction, all or part of a Friend's profile, or any description of offers and wants if such is considered by CareWheels in its sole and absolute discretion to be inappropriate for legal or any other reasons, other than a reason that would constitute unlawful discrimination.
 
11. LISTINGS: It is the responsibility of each Friend to ensure their listings on the LOVE database are maintained and are up to date. Friends agree to accept complementary currencies in payment or partial payment for offers and wants listed in the LOVE database. Certain portions of the LOVE database are confidential and may not be viewed or used except by Friends. In general, these are the portions of the database which may only be accessed through the use of your password. Non-Friends may not access the confidential portions of the database at any time. Allowing a non-Friend access to the confidential portions of the database may be grounds for termination.
 
12. COMPLIANCE WITH PROFESSIONAL AND LEGAL OBLIGATIONS: You understand that if you are providing services that are subject to professional, licensing or other requirements, you are obligated to comply with such requirements in connection with LOVE. You acknowledge that you are obligated to comply with all applicable laws and rules which may affect your provision or acceptance of exchanges including tax obligations pursuant to the Internal Revenue Code or State or City laws, where applicable. CareWheels is not responsible for your tax liability.
 
13. DISCLAIMER: CareWheels publishes a list of the offers and wants that Friends wish to exchange with other Friends in LOVE. CareWheels makes no warranty expressed or implied concerning the exchanges offered in LOVE, including without limitation any warranty of merchantability or fitness. While CareWheels will reasonably endeavor to ensure that the LOVE Internet database is functioning properly, it is unable to guarantee uninterrupted operation. CareWheels is not responsible for damages, including without limitation consequential damages that a Friend may incur as a result of their LOVE exchanges. You will hold CareWheels harmless from any such claim arising from an exchange in which you are involved.
 
14. LIABILITY: You assume full responsibility for all liability and all risk of injury or loss which may result from your participation in LOVE. You expressly waive any claims, demands or causes of action and release CareWheels from any liability whatsoever arising from your exchanges in LOVE.
 
15. NO CONTRACTUAL RELATIONSHIP: You understand that no contractual relationship, either express or implied, exists now, or will be formed, between you and any other Friend in LOVE or between you and CareWheels by virtue of your participation in LOVE.
 
16. NO ENTITLEMENT TO COMPENSATION: You understand that your exchanges with Friends in LOVE will not result in any compensation other than the exchanges made available through LOVE, that your participation is entirely voluntary, and there is no guarantee that you will receive any or an equivalent amount of exchange for what you have contributed. You agree not to seek any additional or substitute compensation, even if you do not or cannot access exchanges through LOVE.
 
17. DENY REGISTRATION: CareWheels reserves the right to deny Registration to any applicant for any reason other than a reason that would constitute unlawful discrimination.
 
18. TERMINATION: CareWheels may act on behalf of Friends and LOVE in seeking explanation or satisfaction from a Friend whose activity is considered to be contrary to the interests of LOVE. You agree that your participation in LOVE may be terminated by CareWheels, in its sole discretion, for any reason other than a reason that would constitute unlawful discrimination. Reasons for which your participation may be terminated include, but shall not be limited to, conduct that is unlawful, harmful to any other Friend or disruptive to the voluntary and cooperative nature of LOVE. In the event CareWheels determines that the reason for a Friend's termination is for inappropriate conduct, which determination shall be made at CareWheels' sole and absolute discretion, the Friend shall have no right to receive the balance of any positive account balance existing upon termination.
 
19. SEVERABILITY: If any provision contained in this Agreement shall be adjudged invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, the validity, legality and enforceability of the remaining provisions contained herein shall not in any way be affected or impaired thereby.
 
20. AMENDMENT: The provisions of this Registration Agreement may be modified from time to time by CareWheels. Any such modification will apply to all Friends. Modifications will be posted on the website: CareWheels.org/terms
 
 
By checking the Registration Agreement Box on the LOVE:Bank Registration Form, you acknowledge that you have received and accept this Registration Agreement, which shall remain in effect even if you are no longer a Friend in LOVE.

  1. Registration is not required to visit, read and post comments on the CareWheels.org public website LOVE:Home. A log-in Name and Password are only required for access to the LOVE:Bank portion of the website.
